These Terms and Conditions ("Terms") govern your access to and use of the services offered by RiseWise LLC ("RiseWise," "we," "us," or "our"), including our websites, applications, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.
1. Disclaimer
RiseWise LLC provides independent analysis and cost advisory services to help property owners and managers evaluate elevator service, repair, and modernization proposals. We are not licensed elevator contractors, and we do not perform or supervise any physical work.
All recommendations and evaluations generated by RiseWise — including those powered by artificial intelligence — are based solely on the documents and information provided by the user. Results should be considered informational in nature and not a substitute for licensed engineering or professional judgment.
RiseWise LLC expressly disclaims all liability for:
Any decisions made based on our analysis
Errors or omissions in third-party proposals
The performance, safety, or quality of elevator work performed by vendors
Any direct, indirect, incidental, consequential, or special damages arising from use of our Services
By using RiseWise, you acknowledge and accept that you are solely responsible for engaging qualified elevator professionals for any physical work or safety compliance.
2. Vendor Relationship Disclaimer
RiseWise operates independently and has no contractual, financial, or partnership relationship with any elevator service provider, contractor, or vendor.
We do not receive commissions, referral fees, or compensation of any kind from elevator vendors. Our analysis and recommendations are based solely on the information you provide and our independent assessment.
You acknowledge and agree that:
Vendor pricing, availability, scheduling, and quality of work are outside RiseWise's control
RiseWise is not responsible for the performance, conduct, or workmanship of any vendor
Any vendor you engage — whether identified through RiseWise or otherwise — is your responsibility to vet, contract with, and supervise
RiseWise does not guarantee that any vendor will honor quoted pricing or complete work as proposed
RiseWise's role is limited to analysis, cost benchmarking, and connecting you with vendor options. Once you sign a proposal or contract with any vendor — whether your existing vendor or a vendor identified through RiseWise — the engagement is solely between you and that vendor. RiseWise is not a party to any contract between you and a vendor, and RiseWise has no responsibility for the execution, quality, timeliness, or outcome of any work performed.
3. Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts to use the Services. You represent and warrant that the information you provide is accurate and complete and that you will keep it up to date.
4. Description of Services
RiseWise provides software tools that assist in the analysis, automation, and optimization of elevator-related service proposals, including features powered by artificial intelligence. The Services may include, but are not limited to: document uploads, proposal reviews, maintenance reminders, vendor communication tools, and cost benchmarking.
Certain features described as automated may be performed manually or through a combination of manual and automated processes at RiseWise's discretion.
We reserve the right to modify or discontinue any features of the Services at our sole discretion, without prior notice.
5. Account Registration
To access certain features of the Services, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and all activity under your account. You agree to notify us immediately of any unauthorized use or breach of security.
6. Subscriptions, Billing, and Cancellation
a. Subscription Plans and Services
RiseWise offers the following plans and services:
Dashboard (Free): Basic access to organize elevator data, contracts, and vendor information at no cost.
Proposal Audit ($399 one-time): Independent review of one scope of work, including analysis of competing bids and revised proposals until the project is completed, signed, or canceled.
Premium Plan ($899/year per elevator): Full platform access including unlimited proposal reviews, modernization support, maintenance tracking, and the Premium Plan Savings Guarantee.
Enterprise (Custom Pricing): For portfolios of six or more elevators, with white-glove onboarding and dedicated support. Contact us for pricing.
All paid subscriptions and services are billed through a third-party processor (e.g., Stripe).
b. Proposal Audit Scope
Each Proposal Audit covers one scope of work (e.g., one repair, one compliance project, or one service contract). If a proposal includes multiple distinct scopes of work, each scope requires a separate Proposal Audit.
The Proposal Audit includes review of competing bids for the same scope of work, as well as follow-up reviews of revised proposals until the project is completed, signed, or canceled.
Turnaround time varies depending on project complexity and vendor responsiveness. RiseWise does not guarantee a specific delivery timeline.
c. Premium Plan Savings Guarantee
The Premium Plan includes a savings guarantee. If RiseWise does not identify at least $899 in savings within your first year of subscription, you are eligible for a full refund of your annual subscription fee.
Qualifying savings may be demonstrated through any of the following:
A repair proposal where RiseWise identifies overcharges or negotiates a lower price
A modernization proposal where RiseWise identifies overcharges or negotiates a lower price
A newly signed service contract that results in savings compared to your previous service contract, calculated over the term of the new agreement
Savings are measured against documented baseline pricing (your original proposal or prior contract terms). To claim a refund under this guarantee, you must submit documentation showing the original pricing and final pricing within 30 days of your subscription renewal date.
RiseWise reserves the right to verify all savings claims before issuing refunds. This guarantee applies only to the Premium Plan and does not apply to the Proposal Audit, Enterprise, or any other service tier.
d. Cancellation and Refund Policy
You may cancel your subscription at any time through your account settings or by contacting us at hello@risewise.io.
Premium Plan: Cancellations will take effect at the end of the current billing cycle. No refunds will be issued for unused time within the billing period, except as provided under the Premium Plan Savings Guarantee.
Proposal Audit: No refunds once work has begun. If no work has been performed, you may request a full refund within 14 days of purchase.
Enterprise: Cancellation terms are specified in your Enterprise agreement.
We reserve the right to change pricing, features, or billing terms. You will be notified in advance of any changes that affect your active subscription.
7. Communication Consent
By using the Services, you consent to receive communications from RiseWise, including:
Account-related emails (confirmations, billing, security alerts)
Service-related communications (maintenance reminders, proposal updates, vendor responses)
Marketing and promotional emails (you may opt out at any time)
You also authorize RiseWise to send communications to vendors on your behalf as part of the Services, including maintenance reminders, document requests, and billing inquiries. These communications may identify you or your company as the requesting party and are sent only when you initiate them through the platform.
8. Acceptable Use
You agree not to:
Use the Services for any unlawful, harmful, or fraudulent purpose
Upload malicious code or interfere with platform functionality
Attempt to gain unauthorized access to other accounts or systems
Reverse-engineer or resell the Services without written consent
Use the Services to generate or distribute misleading or offensive content
Upload false, fraudulent, or intentionally misleading documents
Misrepresent RiseWise's analysis or recommendations to third parties
We may suspend or terminate your account for any violation of these Terms or misuse of the Services.
9. Intellectual Property
All intellectual property related to the Services, including software, algorithms, designs, text, and logos, is the exclusive property of RiseWise LLC or its licensors.
a. User Content
You retain ownership of any content you upload to the platform, including elevator proposals and related documentation. By submitting content, you grant RiseWise a non-exclusive, royalty-free license to process, analyze, and use that content solely for the purpose of providing the Services.
10. AI-Generated Content Disclaimer
Some Services incorporate artificial intelligence technologies to generate analysis and insights. You understand and agree that:
AI-generated outputs may be inaccurate, incomplete, or misleading
The information provided does not constitute legal, engineering, or professional advice
You are solely responsible for verifying and using any AI-based recommendations
RiseWise disclaims all liability for actions taken based on AI-generated content.
11. Indemnification
You agree to indemnify, defend, and hold harmless RiseWise LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
Your use of the Services
Your violation of these Terms
Your violation of any rights of a third party
Any content you upload or submit to the platform
Any misrepresentation of RiseWise's analysis or recommendations to third parties
Any decisions or actions you take based on information provided through the Services
This indemnification obligation survives termination of your account and these Terms.
12. Termination
You may stop using the Services at any time. We reserve the right to terminate or suspend access to the Services, with or without cause, at our sole discretion.
Upon termination, your access will cease and your account may be deactivated. Any rights and obligations that by their nature should survive termination shall remain in effect, including payment obligations, indemnification, and liability limitations.
13. Limitation of Liability
To the fullest extent permitted by law, RiseWise LLC shall not be liable for any indirect, incidental, consequential, special, or exemplary damages, including but not limited to lost profits, loss of data, or business interruption, arising out of or in connection with your use of the Services.
In any event, our total liability shall not exceed the total amount paid by you for the Services in the twelve (12) months preceding the event giving rise to the claim.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively through binding arbitration in Las Vegas, Nevada, in accordance with the rules of a recognized arbitration organization. You waive your right to participate in a class action or jury trial.
15. Changes to These Terms
We may update these Terms at any time. If we make material changes, we will provide notice via the Services or by email. Continued use of the Services after such changes constitutes your acceptance of the revised Terms.
